Terms & Conditions

These Terms & Conditions ("Terms", "Agreement", "Terms of Service") govern the use of services, software, websites, SaaS products, applications, technology solutions, and related services provided by CODE4UTECH CONSULTANCY PVT. LTD.

By accessing our website, purchasing a service, creating an account, signing a project agreement, subscribing to a SaaS product, or otherwise using our services, you agree to these Terms.

If you do not agree with these Terms, you should not use the applicable service.

The specific scope of any project is determined by the applicable quotation, proposal, Statement of Work, order, subscription plan, or separate agreement.

2. Technology Service Provider Relationship

CODE4UTECH acts as a technology service provider.

Unless expressly agreed in writing, we do not:

Operate the client's business
Manage the client's customers
Control the client's employees
Make business decisions for the client
Control the client's financial transactions
Determine the client's pricing
Guarantee regulatory compliance
Guarantee advertising compliance
Provide legal advice
Provide tax advice
Provide financial advice
Assume responsibility for the client's business model

Our responsibility is limited to the technology and services expressly agreed with the client.

3. Client Responsibility

The client is responsible for its:

Business operations
Products
Services
Customers
Employees
Contractors
Content
Advertising
Transactions
Pricing
Legal notices
Privacy notices
User consent
Data collection
Regulatory compliance
Taxes
Licences
Permits
Intellectual property

The client must ensure that its use of technology complies with all laws applicable to its business.

4. Project Scope

Every custom project should have an agreed scope.

The scope may include:

Features
Design requirements
Technical requirements
Deliverables
Development milestones
Testing
Deployment
Support
Maintenance
Timeline
Commercial terms

Requests outside the agreed scope may be treated as additional work and may require additional fees and time.

5. Client Approvals

Clients are responsible for reviewing and approving:

Designs
Content
Features
Test versions
Production releases
Marketing content
Integrations
Final deliverables

Delays in providing required approvals, content, credentials, API access, documents, or feedback may affect project timelines.

6. Payment

Fees are determined by the applicable quotation, proposal, invoice, subscription plan, or agreement.

Unless expressly stated otherwise:

  • Advance payments may be required before work begins.
  • Development may begin after payment confirmation.
  • Milestone payments may be required.
  • Taxes may be charged where applicable.
  • Third-party costs may be billed separately.
  • Late payments may result in suspension of services.

Payment obligations survive termination of the applicable service.

7. No Automatic Refund of Advance Payments

Because software development and professional services may involve allocated personnel, planning, design, development time, infrastructure, and other costs, amounts paid in advance are generally non-refundable except where expressly provided under our Refund Policy or required by applicable law.

The specific commercial agreement may contain different milestone or cancellation provisions.

8. Development Timelines

Project timelines are estimates unless expressly agreed as binding deadlines.

Timelines may be affected by:

Scope changes
Client delays
Third-party dependencies
API changes
Payment delays
Hosting problems
Infrastructure issues
Approval delays
Force majeure events
Regulatory requirements
Security incidents
Third-party service outages

9. Changes and Additional Work

After approval of requirements, significant changes may require:

  • Additional development time
  • Additional fees
  • Revised delivery dates

CODE4UTECH may provide a separate change request, quotation, or approval before performing significant additional work.

10. Software Ownership and Intellectual Property

Unless otherwise agreed in writing:

Pre-existing code
Frameworks
Libraries
Internal tools
Reusable components
Templates
Development methodologies
Technical know-how
Internal systems
Generic modules
Infrastructure

Client ownership or licensing of project-specific deliverables shall be governed by the applicable agreement.

Third-party software and open-source components remain subject to their applicable licences.

11. Client Materials

The client grants CODE4UTECH the necessary permission to use client-provided materials solely for performing the agreed services.

The client represents that it has the required rights to provide such materials.

The client remains responsible for claims relating to materials supplied by the client where such claims arise from the client's lack of rights, authorization, or lawful basis.

12. SaaS Services

CODE4UTECH may operate its own SaaS products and digital products.

SaaS services may be provided under:

Monthly plans
Annual plans
Usage-based plans
Free trials
Promotional plans
Enterprise agreements
Custom contracts

Features, pricing, usage limits, availability, support levels, and other conditions may differ between products and plans.

Specific SaaS terms may supplement these Terms.

13. SaaS Account Management

Users must provide accurate information and maintain account security.

We may suspend or terminate an account where reasonably necessary due to:

Fraud
Abuse
Security risks
Illegal activity
Non-payment
Material breach
Unauthorized access
Misuse of the service

Where appropriate and legally permitted, we may provide notice before termination.

14. User Account Deletion

Users may request deletion of their account where the applicable service supports account deletion.

Account deletion may not immediately remove information that must be retained for:

Legal compliance
Accounting
Tax
Fraud prevention
Security
Dispute resolution
Contractual records
Other lawful purposes

15. Inactive Accounts

We may restrict, archive, or delete materially inactive accounts where permitted by the applicable service terms and law.

Credential theft
Malicious automation
Unauthorized scraping or harvesting
Attacks against systems
Distribution of malicious software

Intellectual Property Abuse

Copyright infringement
Trademark infringement
Piracy
Unauthorized distribution of protected content

17. Right to Suspend Services

CODE4UTECH may suspend or restrict services where reasonably necessary because of:

Illegal activity
Fraud
Security threats
Abuse
Non-payment
Material breach
Regulatory requirements
Third-party restrictions
Risk to CODE4UTECH infrastructure
Risk to other users

Where required by law, information may be provided to appropriate authorities.

18. Third-Party Services

Our solutions may depend on third parties.

Hosting providers

Email services

WhatsApp services
AI providers
Maps providers

CODE4UTECH is not responsible for independent changes, suspension, pricing, outages, restrictions, policy decisions, or failures of third-party services.

19. Marketing and Advertising Services

Where CODE4UTECH provides digital marketing, SEO, Google Ads, Meta Ads, social media, or related services:

We provide professional technology/marketing services but do not guarantee:

A particular number of leads
Sales
Revenue
Customer acquisition
Search rankings
Advertising approval
Advertising platform availability
Conversion rates
Return on advertising spend

Advertising platforms control their own policies, algorithms, approvals, targeting systems, pricing, and availability.

20. Client Business Results

Technology and marketing services cannot guarantee a particular commercial outcome.

No guarantee is made regarding:

Revenue
Profit
Sales
Leads
Rankings
Market share
Customer acquisition
App downloads
Business growth

21. Hosting and Domain Services

Where CODE4UTECH provides hosting assistance, domain assistance, cloud deployment, or similar services, third-party provider terms may apply.

Domains, hosting plans, cloud resources, SSL certificates, email services, and other third-party services may have separate renewal, suspension, cancellation, and refund policies.

These costs are not automatically refundable merely because a client stops using our service.

22. Warranty and Bug Fixes

For custom software projects, the applicable agreement may provide a limited post-delivery warranty or bug-fix period.

Unless otherwise agreed, such support generally applies to defects in the agreed implementation and does not automatically include:

New features
Scope changes
Third-party failures
Client modifications
New browser/OS requirements
Changes to external APIs
Changes to business requirements

23. Limitation of Liability

To the maximum extent permitted by applicable law, CODE4UTECH shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses, including:

Loss of profits
Loss of revenue
Loss of customers
Loss of business opportunity
Business interruption
Loss of anticipated savings
Loss resulting from third-party services
Customer disputes
Regulatory penalties imposed on the client
Tax liabilities
Loss resulting from misuse of software

To the maximum extent permitted by law, CODE4UTECH's aggregate liability relating to a particular service or project shall not exceed the amount actually paid to CODE4UTECH for that specific service/project during the applicable period, except where such limitation is prohibited by applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded.

24. Indemnification

To the extent permitted by law, the client agrees to indemnify and hold harmless CODE4UTECH, its directors, employees, contractors, consultants, and affiliates against third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:

Client business activities
Client-provided content
Client's unlawful use of the service
Client's violation of third-party rights
Client's violation of applicable law
Misuse of the software
Activities performed by client users

This provision does not apply to the extent a claim is caused by CODE4UTECH's own proven misconduct or liability that cannot legally be transferred.

25. Confidentiality

Both parties shall use reasonable measures to protect confidential information received from the other party.

Technical information
Source code
Commercial information
Customer information
Product information
Pricing
Strategy
Credentials
Non-public documentation

Confidentiality obligations may be supplemented by a separate NDA.

26. Data Protection

Where CODE4UTECH processes personal information on behalf of a client, the parties may enter into additional data-processing terms where required.

The client's obligations include providing appropriate privacy notices, obtaining required consent or other lawful basis, and ensuring lawful collection and use of data.

27. International Clients

International clients remain responsible for determining their local legal obligations.

CODE4UTECH may provide reasonable technical assistance, but unless expressly contracted otherwise, we do not act as:

Legal counsel
Tax advisor
Financial advisor
Regulatory advisor
Compliance officer

28. Force Majeure

CODE4UTECH shall not be responsible for delays or failures caused by events beyond reasonable control, including:

Natural disasters
War
Terrorism
Government restrictions
Internet failures
Major infrastructure failures
Cyberattacks
Cloud outages
Third-party outages
Labour disruptions
Regulatory changes
Power failures
Other extraordinary events

29. Termination

Either party may terminate a service according to the applicable agreement.

CODE4UTECH may terminate or suspend services for:

Material breach
Non-payment
Illegal activity
Fraud
Security threats
Abuse
Violation of these Terms

Termination does not remove payment obligations already incurred.

30. Governing Law

These Terms are governed by the laws of India.

Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts in Delhi, India.

For international contracts, the parties may agree to separate dispute-resolution provisions in a written agreement.

31. Changes to Terms

We may update these Terms from time to time.

The updated Terms will be posted on the applicable website with a revised date.

Continued use of the relevant service after an update may constitute acceptance to the extent permitted by law.
